Webtra Digital Solutions - Terms of Service

1. Acceptance of Terms

By accessing or using any website, application, software, or services provided by Webtra (Pty) Ltd (“Webtra”, “we”, “us”, “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use our services.

2. Services We Provide

Webtra designs, develops and maintains:

  • Custom ERP systems tailored to client operations
  • Internal tools, portals, and dashboards
  • SaaS and product development engagements
  • Associated consulting, support and integration work

The specific scope of work, deliverables, fees and timelines for any engagement will be defined in one or more written proposals, statements of work or service agreements.

3. Client Responsibilities

You are responsible for:

  • Providing accurate and complete information needed to deliver the services.
  • Ensuring you have the rights to any data, content or systems you ask us to work with.
  • Maintaining the confidentiality of your access credentials where applicable.
  • Complying with all applicable laws and regulations in your use of the services.

4. Fees, Billing and Payment

Fees for our services will be communicated in writing and may be based on fixed-price engagements, time-and-materials, retainers or subscription models.

  • Invoices are payable within the payment terms specified on the invoice or in the applicable agreement.
  • We reserve the right to suspend services in the case of overdue payments.
  • Any refunds are governed by our Refund Policy.

5. Intellectual Property

Unless otherwise agreed in writing:

  • Webtra retains ownership of any pre-existing tools, frameworks, or libraries used in delivering the services.
  • You retain ownership of your data and any client-provided content.
  • Rights to use the final deliverables will be defined in the relevant agreement and may be subject to licence terms.

6. Confidentiality

Both parties agree to treat as confidential any non-public information disclosed in the course of the engagement and to use such information solely for the purpose of fulfilling their obligations under the agreement, except where disclosure is required by law.

7. Data Protection & Privacy

We handle personal information in accordance with our Privacy Policy and applicable data protection laws such as South Africa’s POPIA where applicable. By using our services, you consent to the collection and use of information as described in the Privacy Policy.

8. Warranties and Disclaimers

We provide our services using reasonable skill and care, but we do not guarantee that:

  • The services will be error-free or uninterrupted at all times; or
  • That the software will meet every possible use case beyond the agreed requirements.

To the maximum extent permitted by law, we provide the services “as is” and disclaim all other warranties, whether express or implied, including any implied warranties of merchantability and fitness for a particular purpose.

9. Limitation of Liability

To the extent permitted by law, Webtra will not be liable for any indirect, incidental, special, or consequential damages, or loss of profits, revenue, data, or business opportunities arising from or in connection with the use of our services. Our total aggregate liability for any claim arising out of or relating to the services will not exceed the total fees paid by you for the services giving rise to the claim during the twelve (12) months preceding the event.

10. Termination

Either party may terminate an engagement:

  • In accordance with the termination clauses in the relevant agreement; or
  • Immediately, if the other party materially breaches these Terms and fails to cure such breach within a reasonable period after written notice.

Upon termination, outstanding fees become payable and any continued access to systems or software will be governed by the applicable agreement.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of South Africa, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the services will be subject to the exclusive jurisdiction of the courts of South Africa.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. Continued use of our services after changes become effective constitutes acceptance of the revised Terms.
